1. Description of Services

Jimsuni Procurement Services provides a cloud-based platform designed to facilitate and manage corporate procurement workflows, vendor management, and related supply chain activities. Please note that our primary offering is the procurement service itself; the software platform serves as a tool to facilitate these transactions. As such, the website and application may be temporarily unavailable from time to time for scheduled maintenance, upgrades, or technical issues. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

2. User Accounts and Responsibilities

To access certain features of the Services, you must register for an account. You are responsible for:

• Providing accurate, current, and complete information during registration.
• Maintaining the security and confidentiality of your account credentials.
• All activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account or any other breach of security.

3. Orders, Fees, and Payments

Access to our platform allows you to place orders for procurement and supply chain services. By placing an order, you agree to pay all applicable fees associated with the procurement.

• Billing: Fees are calculated and billed based on the specific orders and procurements you initiate through the platform.
• Taxes and Duties: All fees are exclusive of applicable federal, state, provincial, local, or other governmental sales, goods and services, import duties, customs fees, or other charges.
• Refunds: All orders placed and processed through Jimsuni Procurement Services are final and strictly non-refundable.

4. Intellectual Property Rights

The Services, including its original content, features, functionality, and design, are owned by Jimsuni Procurement Services and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business operations.

5. User Data

You retain all rights, title, and interest in and to the data, information, and materials you submit to the Services ("User Data"). By submitting User Data, you grant us a worldwide, non-exclusive, royalty-free license to use, host, and process such data solely for the purpose of providing and improving the Services.

6. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights.
• Procure or attempt to procure items that are prohibited by the import laws of your jurisdiction or international import laws. This includes, but is not limited to, combustible or inflammable products (which are prohibited for air transport) and restricted agricultural products.
• Attempt to gain unauthorized access to our systems or networks.
• Transmit any viruses, malware, or other malicious code.
• Interfere with or disrupt the integrity or performance of the Services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Jimsuni Procurement Services and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; or (ii) any unauthorized access, use, or alteration of your transmissions or content.

8. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Services will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any legal actions, suits, or proceedings arising out of these Terms shall be brought exclusively in the courts located in Vancouver, British Columbia.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes via the Services or by email. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
